Service agreement

Last updated: October 2026. This is a plain-language draft. It is pending review by a licensed attorney and does not take effect as a final agreement until that review is complete.

1. Who this is between

This agreement is between you (the client) and Sethhost, the brand under which US business services are offered. Registered agent services referenced in this agreement are provided by Sethhost's wholesale registered-agent partner, a registered-agent provider serving all states (see the registered-agent detail below).

2. What the services are

Sethhost provides formation handling: we prepare and handle paperwork at your specific direction. The state — not Sethhost — forms your company. Specifically:

  • Launch (one-time): state LLC filing handling, EIN paperwork handling (including the no-SSN IRS fax workflow), operating agreement template completed with your information, domain registration (first year), a 5-page website built to go live in 14 days from content handoff, and a configured US business phone number.
  • Hosted (ongoing): registered agent service, business mail receiving/scanning/forwarding workflow, website hosting and care, compliance calendar with deadline reminders, annual-report filing service, and the US number with voicemail transcription.

Registered agent detail: for entities in every state, the registered agent of record is our wholesale partner, disclosed to you by name before or at the time of engagement. Sethhost never holds itself out as the registered agent of record.

Every filing is confirmed by the owner before submission. Nothing is filed on autopilot; you see what is being filed, when, and what it costs before it goes.

3. What the services are not

Sethhost is not a law firm and does not provide legal or tax advice. We do not advise on which state to form in or which entity type to choose; those decisions are yours, and you are encouraged to consult a licensed attorney. Tax filing is delivered through a partner CPA — Sethhost coordinates intake and deadlines; the CPA files. Bookkeeping is provided through a referred partner. Partner pricing is set by the partner and quoted before any engagement.

4. Fees

  • Launch: $499 one-time, charged at checkout. It does not renew.
  • Hosted: $79 per month, billed monthly in advance, auto-renewing until you cancel.
  • State fees are separate and passed through at filing: Pennsylvania $125 filing with a $7 annual report (due September 30); Wyoming $100 filing with a $60 annual report; Delaware $110 filing with a $300 annual franchise tax. State fees change; the fee confirmed at filing governs. State fees are not Sethhost revenue.
  • Partner add-ons (Form 5472 + federal tax filing via partner CPA; bookkeeping referral) are priced and billed by the partner, quoted before engagement.

5. Cancellation

You may cancel the Hosted plan anytime from your portal. Cancellation stops future monthly charges and takes effect at the end of your current billing period; services continue until then. The Launch fee is non-recurring and non-refundable once filing work has begun. State fees already paid to a state are not refundable by Sethhost.

6. Your responsibilities

  • Provide accurate, complete information and respond to requests for documents or confirmations in a timely way — filings can't move without you.
  • Keep your contact details and portal access current.
  • Use the services lawfully; you remain responsible for your business's compliance with applicable laws.
  • Understand that timelines involving third parties (the IRS for EINs, states for filings, banks for accounts) are outside Sethhost's control — we track them, we don't shorten them.

7. Data handling

Formation requires sensitive documents (such as a passport). We collect only what the work requires, protect it under our data-security baseline (encryption in transit, least-privilege access, retention and deletion schedules), and never sell your data. The full picture is in our privacy policy. Filing paperwork you approve is transmitted to the relevant state agency or the IRS as required.

8. Term, suspension, termination

This agreement starts when you check out and continues while Launch work is in progress or a Hosted subscription is active. We may suspend services for non-payment after notice, or terminate for misuse or unlawful activity. On termination, you keep what was filed and built; Hosted services stop at the end of the paid period.

9. Limits

To the extent permitted by law, Sethhost's liability is limited to the fees you paid for the services giving rise to the claim. We are not liable for delays or decisions by third parties (states, the IRS, banks, partners), nor for outcomes we expressly do not promise — including EIN timing, bank or payment-processor approvals, and tax results. Nothing here limits liability where the law doesn't allow it.

10. Governing law and changes

This agreement is governed by the laws of Pennsylvania. We may update this agreement as the attorney review completes or the services evolve; material changes will be communicated, and continued use after notice constitutes acceptance.
