Add-on · Reinstatement
The state dissolved your company for missed paperwork. In most states, that is a repair, not an ending.
Administrative dissolution is the quiet death: a couple of missed annual reports or an unpaid franchise tax, and the state revokes the company’s good standing, then its existence. Contracts, bank accounts, marketplace listings, and the liability shield all sit on top of an entity that technically is not there. Reinstatement is how most states let you undo it.
from $499, quoted in full after record assessment — take the intake quiz or go to checkout.
How the repair runs
- Record assessment first. We pull the state’s record and establish exactly what is owed and missing: which cycles, which fees, whether the agent also lapsed. You get that picture — and the full quote — before any charge.
- Back filings and amounts. Every missed report and tax is prepared and confirmed by you; state fees and back amounts are the state’s, at cost, and usually the larger half of the bill.
- The reinstatement application is filed with the back paperwork. In many states an approved reinstatement is retroactive — the company is treated as if it had never been dissolved — but windows and effects vary by state, and some states cap how long you have.
- Standing restored, calendar armed. The certificate of reinstatement lands in your portal, and — if you move onto Hosted — the calendar that would have prevented it takes over.
Reinstate or start over?
Sometimes a fresh formation is cleaner: a new name, a new EIN, no back amounts. But a new entity does not inherit the old one’s contracts, accounts, licenses, or history, and the dissolved company’s obligations do not evaporate. Our reinstatement guide lays out the comparison honestly; the assessment tells you which side of it your company is on.
The honest edges
Reinstatement work starts at $499 because the record work is real; complex multi-year, multi-state cases are quoted from the assessment before work begins. We cannot reinstate a company dissolved for reasons outside the administrative track — court orders and tax seizures are a lawyer’s territory, and we will say so at assessment rather than bill you for the discovery.
Filing processing fee: 3% of the total order amount, charged by our fulfillment provider, CorpNet, where it applies to your order, including on pass-through charges within the order. It is shown as its own itemized line at checkout and is not Sethhost revenue.
Questions on this filing
How long does reinstatement take?
It follows the state’s processing queue once the back filings are complete. The assessment states your state’s current shape; we do not sell a date the state has not promised.
Can I operate while dissolved?
Founders do, and it is risky: the liability shield and the right to enforce contracts are both clouded in many states until standing is restored. Reinstatement’s retroactivity, where it applies, is what heals that period.
My company was dissolved years ago. Is it gone?
Not necessarily. Some states allow reinstatement for many years; others close the window, after which re-formation is the route. The assessment answers it from your state’s actual record.
