Form your American company in Delaware.
Same desk, same prices, Delaware’s own machinery. Filings here run through the Department of State — Division of Corporations, and the state calls its agent a registered agent. What follows is Delaware’s actual formation landscape.
The Delaware facts
A Delaware agent must keep a business office in the state, open during regular business hours. Delaware's volume of incorporations supports a deep bench of commercial agents, and quoted prices vary widely between national networks and local law-office agents.
Your charter is filed with the Department of State — Division of Corporations. The registered agent you appoint must be reachable at a physical Delaware address during business hours — for founders abroad, that appointment is the whole reason a desk like this one exists. Under Sethhost, the registered agent of record is CorpNet, Incorporated, our disclosed wholesale partner, appointed at filing and named in your service agreement.
Keeping the company alive in Delaware
Delaware LLCs pay a flat $300 annual tax, due June 1, and file no annual report. Delaware corporations file an annual report with their franchise tax (due March 1) — the year's most consequential deadline in this state.
Corporations: the calculation method is the whole bill. Delaware computes a corporation’s franchise tax two ways — the Authorized Shares Method, based on how many shares the charter authorizes, and the Assumed Par Value Capital Method, based on issued shares, gross assets, and par value — and the corporation pays the lower result. The state’s first notice is calculated on the Authorized Shares Method, which for a charter authorizing millions of shares produces a bill in the tens of thousands of dollars; the same company recalculated under the Assumed Par Value Capital Method often lands at or near that method’s $400 minimum. Never pay a Delaware corporation’s first franchise-tax notice without running both calculations.
Inside Hosted, those dates sit on your compliance calendar from the day you form — set from your filing record, not a national average — and annual report filing service is part of the subscription where your state uses one. Reminders are best efforts and you remain responsible for your deadlines; that sentence is in the agreement, and it is on this page too.
How Sethhost serves Delaware
Formation is prepared at your direction and confirmed by you before filing (Docket 01). The EIN runs through the IRS workflow for founders with or without a Social Security number (Docket 03). Official mail received by the agent is retrieved by our desk each business day and mirrored into your portal under the mail protocol — best efforts, in writing, with no timeframe promised upstream. A five-page website and a US number complete the visible half of the company (Docket 06).
Questions on Delaware
How much does Sethhost charge in Delaware?
The same as everywhere: Launch $499 one-time and Hosted $79 per month. Delaware’s own LLC filing fee is $110 — separate, charged at cost, and itemized for your state at checkout before your filing is placed.
What does Delaware call its registered agent?
The registered agent — and the filing office is the Department of State — Division of Corporations. State terminology is not pedantry: the wrong term on a form is how filings get rejected.
Can I form in Delaware from outside the US?
Yes — that is the standard case here. You choose the state; we never recommend one, because that is legal advice. Compare states on the coverage board and in the guides, then direct us.
