Form your American company in New York.

Same desk, same prices, New York’s own machinery. Filings here run through the Department of State — Division of Corporations, and the state calls its agent a registered agent. What follows is New York’s actual formation landscape.

The New York facts

New York is the national outlier: the Department of State itself is every entity's statutory agent for service of process. You designate an address where the Department forwards process; a private registered agent is an optional extra, not the requirement.

Your charter is filed with the Department of State — Division of Corporations. The registered agent you appoint must be reachable at a physical New York address during business hours — for founders abroad, that appointment is the whole reason a desk like this one exists. Under Sethhost, the registered agent of record is CorpNet, Incorporated, our disclosed wholesale partner, appointed at filing and named in your service agreement.

Keeping the company alive in New York

New York LLCs and corporations file a biennial statement with the Department of State, for a $9 filing fee. That statement is the filing that keeps the Department's forwarding address — and any optional agent — current.

Separately, most New York LLCs owe the Department of Taxation and Finance an annual filing fee on Form IT-204-LL, scaled to the LLC’s New York-source gross income — from $25 up to $4,500. It is a filing fee, not an income tax, and it applies on top of the biennial statement, not instead of it.

Inside Hosted, those dates sit on your compliance calendar from the day you form — set from your filing record, not a national average — and annual report filing service is part of the subscription where your state uses one. Reminders are best efforts and you remain responsible for your deadlines; that sentence is in the agreement, and it is on this page too.

Publication — New York

New York LLCs must publish notice of formation in two newspapers for six consecutive weeks within 120 days of forming — the state’s most resented formation step, and the one discount formers most often leave undone. It is pre-quoted before your filing is placed: $425, a pass-through charge collected before filing, with the confirmed figure governing your order. Publication cost in New York is set by the county of the LLC’s office; the $425 holds because publication runs in a low-cost county through the registered office siting, not in New York County, where the same notices would cost far more. The step is not finished when the notices run: a Certificate of Publication is filed with the Department of State with the newspapers’ affidavits to complete it. Skip publication or the certificate, and the LLC’s authority to carry on business in New York is suspended until it is done.

How Sethhost serves New York

Formation is prepared at your direction and confirmed by you before filing (Docket 01). The EIN runs through the IRS workflow for founders with or without a Social Security number (Docket 03). Official mail received by the agent is retrieved by our desk each business day and mirrored into your portal under the mail protocol — best efforts, in writing, with no timeframe promised upstream. A five-page website and a US number complete the visible half of the company (Docket 06).

Questions on New York

How much does Sethhost charge in New York?

The same as everywhere: Launch $499 one-time and Hosted $79 per month. New York’s own LLC filing fee is $200 — separate, charged at cost, and itemized for your state at checkout before your filing is placed.

What does New York call its registered agent?

The registered agent — and the filing office is the Department of State — Division of Corporations. State terminology is not pedantry: the wrong term on a form is how filings get rejected.

Can I form in New York from outside the US?

Yes — that is the standard case here. You choose the state; we never recommend one, because that is legal advice. Compare states on the coverage board and in the guides, then direct us.
