Form your American company in Texas.
Same desk, same prices, Texas’s own machinery. Filings here run through the Secretary of State — Statutory Filings Division, and the state calls its agent a registered agent. What follows is Texas’s actual formation landscape.
The Texas facts
Texas requires the agent to have consented to serve, and the registered office must be a physical address where the agent can be reached during normal business hours — a mailbox alone does not qualify.
Your charter is filed with the Secretary of State — Statutory Filings Division. The registered agent you appoint must be reachable at a physical Texas address during business hours — for founders abroad, that appointment is the whole reason a desk like this one exists. Under Sethhost, the registered agent of record is CorpNet, Incorporated, our disclosed wholesale partner, appointed at filing and named in your service agreement.
Who can serve as registered agent in Texas
Two kinds of agent are recognized: an individual — an adult resident of Texas — and a business entity authorized to do business in Texas. Texas adds a condition many states skip: the agent must have consented to the appointment. You cannot volunteer someone; a filing naming an agent who never agreed is defective.
Keeping the company alive in Texas
Texas has no Secretary of State annual report. The Comptroller's franchise-tax Public Information Report is the yearly filing where agent details surface — keep it consistent with the Secretary of State record.
The date is May 15: the franchise tax report and the Public Information Report are due to the Comptroller every year by May 15. Most small companies owe no franchise tax itself — an entity whose annualized total revenue is at or below the state’s no-tax-due threshold (set by the Comptroller for each report year; $2.65 million for the 2026 report) owes no tax, but it must still file the Public Information Report. Letting the filing lapse has teeth: the Comptroller can move to forfeit the entity’s right to transact business in Texas, and continued failure ends in forfeiture of the charter itself.
Inside Hosted, those dates sit on your compliance calendar from the day you form — set from your filing record, not a national average — and annual report filing service is part of the subscription where your state uses one. Reminders are best efforts and you remain responsible for your deadlines; that sentence is in the agreement, and it is on this page too.
How Sethhost serves Texas
Formation is prepared at your direction and confirmed by you before filing (Docket 01). The EIN runs through the IRS workflow for founders with or without a Social Security number (Docket 03). Official mail received by the agent is retrieved by our desk each business day and mirrored into your portal under the mail protocol — best efforts, in writing, with no timeframe promised upstream. A five-page website and a US number complete the visible half of the company (Docket 06).
Questions on Texas
How much does Sethhost charge in Texas?
The same as everywhere: Launch $499 one-time and Hosted $79 per month. Texas’s own LLC filing fee is $300 — separate, charged at cost, and itemized for your state at checkout before your filing is placed.
What does Texas call its registered agent?
The registered agent — and the filing office is the Secretary of State — Statutory Filings Division. State terminology is not pedantry: the wrong term on a form is how filings get rejected.
Can I form in Texas from outside the US?
Yes — that is the standard case here. You choose the state; we never recommend one, because that is legal advice. Compare states on the coverage board and in the guides, then direct us.
